Agreement to Terms

By accessing and using OurSharedPlace ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Description of Service

OurSharedPlace is a web-based platform designed to help co-owners of vacation properties manage bookings, share information, and coordinate usage. The Service includes features such as:

  • Property management and member administration
  • Booking calendar with approval workflows
  • Photo galleries and blog posts
  • Contact directories and to-do lists
  • Email notifications and embed links

Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this requirement.

Account Registration

To use the Service, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription and Payment

OurSharedPlace operates on an annual subscription model at $79 per property per year. By subscribing, you agree to:

  • Pay the annual fee for each property you create or manage
  • Provide accurate and current payment information
  • Automatic renewal unless you cancel before the renewal date
  • No refunds for partial subscription periods

New properties receive a 14-day free trial. If you do not cancel before the trial ends, you will be charged the annual subscription fee.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial subscription periods or unused time.

User Content

You retain ownership of all content you create or upload to the Service ("User Content"), including photos, blog posts, contacts, and booking information. By using the Service, you grant us a limited license to:

  • Store, display, and transmit your User Content to provide the Service
  • Share your User Content with other members of your properties according to your specified permissions
  • Make backup copies of your User Content for disaster recovery

You are solely responsible for your User Content and represent that you have the necessary rights to share it.

Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Upload or share content that infringes on intellectual property rights
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Harass, abuse, or harm other users
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell or redistribute the Service without authorization

Property Management and Member Roles

Properties can have multiple administrators who have full control over the property. Administrators are responsible for:

  • Managing member access and permissions
  • Approving or declining booking requests
  • Setting and enforcing booking policies
  • Maintaining accurate property information

We are not responsible for disputes between co-owners or property members. You agree to resolve such disputes independently.

Data Privacy and Security

We take data privacy and security seriously. Please review our Privacy Policy to understand how we collect, use, and protect your information.

While we implement security measures to protect your data, you acknowledge that no system is completely secure. You use the Service at your own risk.

Intellectual Property

The Service, including its design, code, logos, and content (excluding User Content), is owned by OurSharedPlace and protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without written permission.

Third-Party Services

The Service may integrate with or contain links to third-party services (such as YouTube for video embeds). We are not responsible for the content, privacy practices, or terms of these third-party services.

Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times or error-free. We may:

  • Perform maintenance that temporarily interrupts service
  • Modify or discontinue features with reasonable notice
  • Suspend service for security or technical reasons

We are not liable for any damages resulting from service interruptions.

Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms. Upon termination:

  • Your access to the Service will be revoked
  • You may request a copy of your data within 30 days
  • Your data will be deleted after 30 days unless required for legal purposes
  • No refunds will be provided for remaining subscription time

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OURSHAREDPLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless OurSharedPlace and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive your right to participate in class actions.

Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any legal actions must be brought in the appropriate courts.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OurSharedPlace regarding the Service.
